1. Introduction

Welcome to NISS NYC. These Terms & Conditions ("Terms") govern your access to and use of our website located at www.theniss.com (the "Site"), and any products, services, or content we make available (collectively, the "Services"), offered by NISS, doing business as NISS NYC ("NISS NYC," "we," "us," or "our").

By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site or Services.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services. By using the Services, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

3. Account Registration

Certain features of the Services may require you to create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your login credentials confidential and secure.
• Notify us immediately of any unauthorized use of your account.

4. Services & Service Requests

NISS NYC provides commercial cleaning, janitorial and facility services, along with related disinfection and environmental safety programs. All service descriptions, images and pricing are subject to change without notice. We reserve the right to limit availability, refuse a request, or discontinue any service at our discretion.

Service requests submitted through the Site are subject to acceptance and availability. We will make reasonable efforts to display accurate pricing and availability, but errors may occasionally occur. In such cases, we reserve the right to cancel or correct any request affected by an error.

5. Pricing & Payment

All prices are listed in U.S. Dollars (USD) unless otherwise stated and are subject to change without notice. Payment is due in full as specified in your service agreement or invoice. You represent that any payment information you provide is accurate and that you are authorized to use the designated payment method. Applicable sales tax will be added where required by law.

6. Scheduling, Cancellations & Rescheduling

Scheduled service dates, frequencies and access requirements are confirmed in writing before work begins. If you need to cancel or reschedule a scheduled visit, contact us as early as possible so we can reassign crews and adjust the program. Cancellation and rescheduling terms for recurring contracts are set out in your signed service agreement.

7. Service Guarantee & Concerns

If any part of a completed service does not meet the agreed scope of work, notify us promptly and we will inspect the area and correct qualifying issues at no additional charge. Remedies are limited to reperformance of the affected work unless otherwise stated in your service agreement.

8. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, designs, and the NISS NYC name and marks, is the property of NISS NYC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from the Site without our prior written consent.

9. User Conduct

When using the Site or Services, you agree not to:

• Violate any applicable law or regulation.
• Infringe upon the intellectual property or other rights of any third party.
• Transmit any harmful, offensive, fraudulent, or unlawful content.
• Attempt to gain unauthorized access to the Site, servers, or connected systems.
• Interfere with or disrupt the operation of the Site or Services.
• Use any automated system such as bots or scrapers to access the Site without our permission.

10. User Generated Content

If the Site allows you to submit reviews, comments, photos, or other content ("User Content"), you grant NISS NYC a non-exclusive, worldwide, royalty-free, transferable license to use, reproduce, display, and distribute such User Content in connection with operating and promoting our business. You represent that you own or have the necessary rights to submit such content.

The Site may contain links to third party websites or services that are not owned or controlled by NISS NYC. We are not responsible for the content, privacy practices, or terms of any third party sites. Your interactions with such third parties are solely between you and them.

12. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NISS NYC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR FREE.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NISS NYC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO NISS NYC IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless NISS NYC and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses, including reasonable attorneys' fees, arising out of your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

15. Termination

We reserve the right to suspend or terminate your access to the Site or Services at any time, without notice, for conduct that we believe violates these Terms or is otherwise harmful to NISS NYC or other users.

16. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of such courts.

17. Changes to These Terms

We may update these Terms from time to time. Any changes will be posted on this page with a revised "Last Updated" date. Your continued use of the Site or Services after changes are posted constitutes your acceptance of the revised Terms.
